CVM Resolution N°. 44 – (August 23, 2021) establishes rules for the disclosure of information about relevant acts or facts, the trading of securities while relevant acts or facts are undisclosed, and the disclosure of information about securities trading. It also revokes CVM Instructions No. 358, dated January 3, 2002, n°. 369, dated June 11, 2002, and n°. 449, dated March 15, 2007.
CVM Instruction 358 – CVM Instruction n°. 358, dated January 3, 2002, establishes rules for the disclosure and use of information related to relevant acts or facts concerning publicly traded companies. It regulates the disclosure of information in the trading of securities and the acquisition of a significant batch of shares issued by a publicly traded company, as well as imposes restrictions and conditions for trading shares of a publicly traded company while relevant undisclosed information is pending in the market.
CVM Instruction 400 – CVM Instruction n°. 400, dated December 29, 2003, which regulates public offerings of distribution of securities.
EBIT – According to Circular Letter CVM No. 01/2007, it stands for Earnings Before Interest and taxes, which is the profit before net financial expenses, income tax, and social contribution.
EBITDA – Non-accounting measurement calculated by the Company and related to its financial statements. EBITDA consists of net income attributable to shareholders, plus net financial income, income and social contribution taxes, and depreciation and amortization expenses.

Through its subsidiary M Cartões, it carries out credit card operations, in the private label modality, through the Marisa Card and through its indirect subsidiary M Pagamentos, it carries out personal credit operations, offering personal loans to its consumers.
M Cartões Administradora de Cartões de Crédito Ltda. – Controlled company of Marisa S.A., whose main objective is the administration of the Marisa Card. The legal corporate name of the former ‘Club Gestora de Cartão Ltda’ became ‘M Cartão – Gestora de Cartão de Crédito Ltda’ in 2021.
M Pagamentos S.A. Crédito, Financiamento e Investimento (“M Pagamentos”) – the former ‘Sax S.A. – Crédito, Financiamento e Investimento’ had its corporate name changed to ‘M Pagamentos S.A. – Crédito, Financiamento e Investimento’’ in 2021. M Pagamentos is a subsidiary of Mbank that operates in the credit, financing and investment market in the retail segment, the Company carries out personal credit operations, offering personal loans to its consumers.

Same Store Sales – SSS – Marisa includes in the category of same store sales those that have been in operation for more than 13 months. Variations in sales of comparable stores between periods are based on the sales of the stores that were in operation in both periods being compared. When the operation of a store is discontinued, the sales of that store are excluded from the calculation of comparable store sales for the compared periods.
